Governance Committee

The Governance Committee, chaired by the President and consisting of the officers, the chairs of the other three standing governing committees and the Executive Director, is basically responsible for the effective functioning of MRS’s Board and for the maintenance and development of the Board/Executive Director working relationship, in this capacity being accountable for:

  • Overseeing the functioning of the MRS Board, which involves directing and coordinating the work of the three other standing committees, keeping the Board governing mission updated, setting Board member performance standards, and monitoring Board member performance.
  • Developing, and keeping updated, a profile of preferred Board member attributes and qualifications and fashioning and executing strategies to ensure that qualified candidates are elected to fill Board vacancies.
  • Developing and overseeing execution of a formal Board member capacity-building program, including such elements as orientation of new members, continuing education and training, and a mentoring program pairing new with senior Board members.
  • Ensuring that the Executive Director position description is updated as necessary to reflect changing MRS needs, priorities, and circumstances.
  • Annually negotiating Executive Director performance targets, and annually or semi-annually evaluating progress in achieving these targets.

Although the Governance Committee plays an active role in directing and coordinating the affairs of the Board and making sure that the standing (governing) committees work together effectively, it is not a petite Board, pre-screening reports and recommendations for the full Board.
